# AgentTitle - Full Context > Title company ownership made easy for real estate agents. AgentTitle helps real estate agents become co-owners of title companies through legally compliant affiliated business arrangements (AfBAs) under RESPA Section 8(c)(4). --- ## Business Model AgentTitle structures agent-owned title companies as joint venture AfBAs: - **Title Operations LLC**: Handles all title insurance operations, employs licensed title professionals, maintains underwriter appointments, and manages compliance. - **Agent-Member LLC**: Owned by participating real estate agents, each holding a fixed ownership percentage. - **Title Company LLC**: Co-owned by the Title Operations LLC and the Agent-Member LLC. Agent-owners receive quarterly distributions based on their fixed ownership percentages. Distributions are never tied to individual referral volume. This is a return on ownership investment, not a referral fee. ### What "Agent-Owned Title Collective" Means "Agent-owned title collective" is our marketing term. The regulatory term is "affiliated business arrangement" (AfBA) under RESPA Section 8(c)(4). The specific structure is a joint venture AfBA. --- ## Legal Framework ### RESPA Section 8 The Real Estate Settlement Procedures Act (12 USC 2607) prohibits kickbacks, referral fees, and unearned fee-sharing in real estate settlement services. Title insurance is a settlement service. ### RESPA Section 8(c)(4) - AfBA Exception RESPA permits affiliated business arrangements where a settlement service provider has an ownership interest in a title company, provided three conditions are met: 1. **Written disclosure** of the affiliated relationship at or before the time of referral 2. **No required use** - consumers are free to shop for alternatives 3. **Return on ownership only** - distributions track fixed ownership percentages, not referral volume ### Carter v. Welles-Bowen (6th Circuit, 2013) The Sixth Circuit held that the statutory three-part safe harbor is sufficient. However, the CFPB continues to apply the 10-factor sham entity test in enforcement. Practically, meeting both the three-part test and the 10-factor legitimacy markers is necessary. ### Sham Entity Prohibition HUD/CFPB's 10-factor test evaluates whether an AfBA entity is legitimate or merely a vehicle for referral fees. Key factors include: sufficient capital, qualified staff, separate office space, arms-length transactions, and services actually performed. ### FinCEN Residential Real Estate Reporting Rule Effective March 1, 2026, title companies must report beneficial ownership for non-financed transfers involving legal entities or trusts. A seven-tier reporting cascade determines filing responsibility. ### Recent Enforcement - **D.C. AG (2024)**: $3.2M settlement for AfBA violations - **PA AG (2025)**: Bright Financial Group targeted for tracking referrals per owner and adjusting ownership percentages accordingly - **Maryland (Jan 2026)**: $1.05M fine for AfBA compliance failures - **RealtySouth (2014)**: $500K HUD settlement --- ## Markets ### Tier 1 - Home Market - **North Carolina**: Attorney state ("approved attorney" system). Agent-owned title companies operate with retained independent attorney. No state AfBA law beyond RESPA. Charlotte (2.7M MSA), Raleigh-Durham (2.1M MSA). - **South Carolina**: Attorney state. SC Code section 38-75-960 imposes AfBA requirements exceeding federal RESPA (annual DOI filing, prescribed disclosure forms). Charleston (850K), Greenville (950K). - **Georgia**: Attorney state, but GA Code section 15-19-53 explicitly permits title insurance companies and staff counsel. Most permissive of the attorney states. Atlanta (6.2M MSA), 86,000+ active licensees. ### Tier 1 - Large Title-State Markets - **Texas**: Title/escrow state. Largest title premium market ($580.9M Q1 2025). Abstract plant required. Per-county licensing. - **Florida**: Title state. Second-largest premium market. Marketing restrictions (no sponsoring agent open houses). Surety bond $35K, fidelity bond $50K, E&O $250K+. - **Arizona**: Title state. Phoenix 5.2M MSA. Permissive regulatory environment. 16-hour pre-licensing. - **Ohio**: Title state. Three 2M+ MSAs. Most affordable Tier 1 state (Columbus median $230K). ### Tier 2 Indiana, Tennessee (hybrid), Oklahoma, Missouri, Utah, Nevada ### Tier 3 Idaho, Arkansas --- ## Title States vs Attorney States - **Title states** (~27 states): Title companies/escrow agents handle closings without mandatory attorney involvement. - **Attorney states** (~21 states): Require attorney involvement in closings to varying degrees. Important: "Attorney state" does NOT mean agent-owned title companies cannot operate. The attorney requirement governs who renders the legal title opinion or conducts the closing, not who owns the title company entity. Agent-owned title companies successfully operate in NC, SC, and GA by retaining or employing licensed attorneys. --- ## What AgentTitle Handles - LLC entity formation and operating agreements - Underwriter appointment procurement - State title insurance licensing applications - Hiring and managing licensed title professionals - RESPA compliance documentation and AfBA disclosures - Title searches, commitments, closings, and policy issuance - Quarterly distribution calculations and payments - Ongoing regulatory filings and compliance monitoring --- ## What Agents Do - Continue selling real estate as their primary business - Refer clients to the title company they co-own - Provide AfBA disclosure forms to clients at or before referral - Receive quarterly distributions based on fixed ownership percentage - Clients are never required to use the affiliated title company --- ## Important Disclaimers - AgentTitle is not a law firm and does not provide legal advice - Agents should consult with a licensed attorney familiar with RESPA and their state's regulations before entering any affiliated business arrangement - Past distributions are not a guarantee of future returns - All content is educational and informational, not legal or financial advice - Distribution amounts depend on the title company's financial performance --- ## Contact - Website: https://agenttitle.co - Schedule consultation: https://agenttitle.co/register
